Terms of service
Version 1.0 · Last updated: October 29, 2026
These terms of service (the “Terms”) are a contract between you, the customer, and Optionality Partners, S.L., a Spanish limited company with registered office at {{COMPANY_ADDRESS}} and tax id {{COMPANY_TAX_ID}} (“Outvoy”, “we”, “us”). They apply to the website getoutvoy.com, the console at app.getoutvoy.com, the API and MCP server at api.getoutvoy.com, and everything else we provide under the Outvoy name (together, the “Service”). By creating an account, starting a trial, redeeming a licence or calling the API or MCP server, you accept these Terms, the Data Processing Agreement and the policies they link to. If you accept them for a company or other organisation, you confirm you are authorised to bind it, and “you” means that organisation.
1. Definitions
- Workspace: the customer account that holds your plan or licence, API keys, senders, leads, campaigns and everything else. Each sign-up creates one.
- User: a person who signs in to your workspace's console.
- Sender: a LinkedIn account you connect to the Service, or a simulated (“sandbox”) account.
- Lead: a person whose data you bring into or find through your workspace, usually from LinkedIn.
- Customer Data: all data, including personal data, that you or your agents put into the Service or that the Service collects on your instructions (leads, lists, messages, campaign activity, webhook configuration).
- Agent: any software, including AI models, that uses the Service through an API key on your behalf.
- Subscription: a monthly plan paid through Stripe. Licence: a lifetime licence bought on AppSumo.
2. The Service
Outvoy is software for business outreach on LinkedIn that people and AI agents can operate. It lets you connect LinkedIn accounts through a hosted sign-in page, build audiences of leads (from LinkedIn searches, profile URLs, CSV files or post engagement), run campaigns of profile visits, post likes, invitations and messages with safety limits, read and answer conversations, and receive events through a feed and signed webhooks. Everything is available through the console, a REST API and an MCP server. The features of each plan are those described on our website and in the documentation when you get the plan.
3. Business use only, and your account
- The Service is offered only to businesses and professionals acting for purposes related to their trade, business or profession. It is not offered to consumers. By accepting these Terms you confirm you are not acting as a consumer, and that you and every User are at least 18.
- Give accurate account and billing information and keep it up to date.
- Keep passwords and API keys secret. You are responsible for everything done through your workspace, its Users and its API keys, including every action an Agent takes. An Agent acting with your key acts for you. Revoke a key in Settings as soon as you suspect it has leaked.
- Tell us promptly at {{CONTACT_EMAIL}} if you become aware of unauthorised access to your workspace.
4. LinkedIn accounts and the LinkedIn risk
Outvoy is not affiliated with, endorsed by or sponsored by LinkedIn. LinkedIn is a trademark of LinkedIn Corporation. You need your own LinkedIn account, under LinkedIn's own terms, to use the Service with a real sender.
Automating activity on LinkedIn may breach LinkedIn's User Agreement, which restricts the use of third-party software to automate activity on its platform. LinkedIn may warn, limit, restrict, suspend or permanently close accounts it considers automated, and may change its platform at any time in ways that stop features from working. The Service applies conservative default limits, hard ceilings, warm-up for new accounts, working hours and human pacing to reduce this risk (see account safety), but nothing removes it, and we do not guarantee that any account will not be restricted.
By connecting a LinkedIn account you confirm that:
- the account is yours, or you are authorised by its owner to connect it and to have the Service act through it;
- you have read LinkedIn's User Agreement and accept the risk that using the Service may breach it and may lead to the account being restricted or closed;
- you alone are responsible for your relationship with LinkedIn and for complying with its terms, and for any settings you choose, including limits above our defaults;
- we are not liable for any warning, restriction, suspension or loss of a LinkedIn account, its connections, content or reputation, or for any other action LinkedIn takes, nor for changes LinkedIn makes that require us to change, limit or withdraw features.
You sign in to LinkedIn on a page operated by our provider Unipile, not on Outvoy. We never see your LinkedIn password. You can disconnect a sender at any time; we then stop acting through it and remove its LinkedIn session from our provider.
5. Acceptable use
You are responsible for the people you choose to contact, the content you send and having a lawful basis to process their data and contact them. You must comply with every law that applies to you and to them, including data protection law (the GDPR, the UK GDPR, the CCPA and similar), electronic communications and marketing rules (such as the ePrivacy Directive and its national laws, Spain's LSSI-CE, the UK PECR and the US CAN-SPAM Act where relevant), and consumer protection and anti-discrimination law. You must not use the Service, or let an Agent use it, to:
- send spam: bulk unsolicited messages unrelated to the recipient's professional role, or high-volume messages that don't take the recipient into account;
- send content that is deceptive, misleading, harassing, threatening, defamatory, discriminatory, sexually explicit, or that promotes illegal goods or services;
- impersonate any person or organisation, or misrepresent who you are, who you work for or why you are writing;
- keep contacting anyone who has asked you to stop (add them to your blocklist), or contact people you know don't want to hear from you;
- target children, or collect or infer special categories of personal data (health, religion, political opinions, sexual orientation, ethnicity, trade union membership, biometrics) or data about criminal offences;
- build, sell or redistribute databases of LinkedIn data, or use the Service for surveillance, profiling of individuals for non-business purposes, or recruitment practices that breach the law;
- try to bypass the Service's limits, hard ceilings, safety rules or plan restrictions, use several workspaces to evade them, or connect accounts you are not authorised to use;
- probe, scan or test the vulnerability of the Service, interfere with it, overload it, reverse engineer it (except as the law allows) or access another customer's data;
- break any law or infringe anyone's rights.
Our account safety page explains the limits and how to use the Service responsibly. If we receive a credible complaint about your use, we may ask you about it and, where section 12 allows, suspend the affected sender, campaign or workspace.
6. Customer Data and data protection
- You keep all rights to Customer Data. You grant us a worldwide, non-exclusive licence to host, copy, process and transmit it only to provide, secure and support the Service for you, as your processor.
- For personal data in Customer Data you are the controller and we are your processor. The Data Processing Agreement (DPA) forms part of these Terms and governs that processing. Our own processing of account and billing data is described in the privacy policy.
- You are responsible for having a lawful basis for the personal data you bring in and for the outreach you run, for giving people the information the law requires (for example, under article 14 GDPR when you collect their data from LinkedIn), and for handling their requests, with our help as the DPA describes.
- You can export all of your workspace's data, or delete your workspace, at any time in Settings → Data. The API also lets you read your data.
- We don't sell Customer Data, use it to advertise, or use it to train AI models.
7. API, MCP and rate limits
- Every plan includes the REST API, the MCP server, the events feed and webhooks. Use them only with your own API keys and only for your workspace. Don't share keys with third parties other than the Agents and tools you run for yourself.
- We apply rate limits to protect the Service, for example on sign-in attempts and public connect links, and may apply reasonable limits to request rates, payload sizes and imports. A request over a limit gets a
429answer; build your Agents to back off and retry. - Sender limits and hard ceilings (for example, at most 40 invitations a day per LinkedIn sender) are part of the Service and can't be raised beyond the ceilings.
- We version the public API under
/v1. We may add fields, endpoints, events and tools at any time. We will give at least 30 days' notice of a change that removes or breaks a documented/v1endpoint, field or event, unless a shorter period is needed for security, legal reasons or a change made by LinkedIn. - Webhook endpoints you register must be yours or under your control. We sign every delivery; verifying the signature is your responsibility.
- Agents can make mistakes. Use preview and sandbox senders before launching real campaigns. You are responsible for what an Agent sends with your key.
8. Plans, trials and subscriptions
- There is no free plan. A workspace with no plan can be read and explored, but nothing that acts (LinkedIn or sandbox senders, imports, campaign launches) can be used until it starts a trial, subscribes or redeems a licence.
- Free trial. A workspace's first subscription starts with a 7-day free trial with the chosen plan's limits. A payment card is required to start it. Unless you cancel before the trial ends, the card is charged on day 8 and then every month. Only one trial per workspace and per customer; we may refuse a trial to anyone who has already had one.
- Billing. Subscriptions are billed monthly in advance, in US dollars, through our payment provider Stripe, at the price shown on the pricing page when you subscribe. They renew automatically every month until cancelled. Prices exclude taxes; we add VAT or other taxes where the law requires (for EU business customers with a valid VAT number, reverse charge may apply).
- Price changes. We may change prices for future periods with at least 30 days' notice by email. The new price applies from your next renewal after that notice; you can cancel before it applies.
- Upgrades and downgrades are made in Settings → Billing and take effect as Stripe applies them. On a downgrade, LinkedIn senders over the new plan's allowance are paused, never deleted.
- Failed payments. If a charge fails, the plan stays for a 7-day grace period while you update the payment method. After that the workspace has no plan, its LinkedIn senders pause and nothing new can act; your data stays.
- A workspace can't hold a subscription and a licence at once. Redeeming a licence while subscribed sets the subscription to end with its current period, with no further charges.
9. Cancellation and refunds
- You can cancel a subscription at any time in Settings → Billing. Cancelling during the trial means you are never charged. Cancelling later stops renewal: the plan runs until the end of the period already paid, then ends.
- Fees already paid are not refundable, including for partial periods, unused senders or unused leads, except where the law requires a refund, for a duplicate charge or billing error, or as sections 13 and 20 and the sub-processors page provide.
- AppSumo purchases are refunded only by AppSumo, under AppSumo's refund policy (currently 60 days from purchase). A refunded licence is deactivated and the workspace returns to no plan.
- The refund and cancellation policy summarises these rules.
10. AppSumo lifetime licences
- Lifetime licences are sold by AppSumo, which handles payment, invoicing and refunds under its own terms. We receive the licence key, tier and status from AppSumo when you redeem it in the console.
- “Lifetime” means the lifetime of the Service: you keep access for as long as we offer Outvoy to any customer, not for the life of the buyer or of their company. A licence has no recurring fee for what it includes.
- What a licence includes: access to the Service with the features available to licence holders when you bought it, including the full API and MCP server, and the limits of your tier as described on the AppSumo deal page at the time of purchase. Every tier includes one LinkedIn account (sender) for the lifetime of the Service. We may add features later and include them or offer them separately; features we described as “coming next” (such as email enrichment or email sending) are not part of a licence unless we say so.
- Additional LinkedIn accounts. LinkedIn accounts beyond the one your licence includes are an optional monthly add-on, priced per account at the price disclosed on the deal page, on our pricing page and in the console before you buy (currently US$19 per account per month), billed through Stripe under section 8 and cancellable at any time under section 9. You choose the number of extra accounts in the console; an increase is charged pro rata for the rest of the billing month, and a reduction is credited pro rata against your next add-on invoice. You can't reduce the add-on below the LinkedIn accounts you have connected beyond the one included: disconnect accounts first. Cancelling the add-on keeps your extra accounts until the end of the month you paid for. If, when the add-on ends or after the grace period of a failed payment, more LinkedIn accounts are connected than your licence and add-on allow, the most recently connected ones are paused, never deleted. The add-on never affects the licence itself.
- One licence per workspace; licences can't be stacked. Upgrades and downgrades between tiers go through AppSumo. On a downgrade, senders over the new tier's allowance are paused, never deleted.
- A licence belongs to the workspace that redeemed it and can't be resold, shared or transferred, except as AppSumo's terms allow.
- Licences are subject to fair use (section 11) and to these Terms. We may deactivate a licence for a serious breach of section 5 under section 12, or if AppSumo refunds it.
- Continuity. If Outvoy is sold, merged or transferred, we will require the new owner to honour active licences on these terms. We will not stop offering the Service to licence holders while we keep offering it to subscribers. If we ever discontinue the Service altogether, we will give licence holders at least 90 days' notice by email and a way to export their data, and we will work with AppSumo on any remedy its partner terms provide.
- Changes LinkedIn makes, or the loss of a third-party service the Service depends on, may require us to change or limit LinkedIn features for everyone. That is not a discontinuation of the Service, and we will try to offer an equivalent where we reasonably can.
11. Fair use
Plans and licences are for normal outreach by one organisation, its people and its Agents, within the limits of the plan. Agencies may run outreach for their own clients from their workspace. Reselling or sublicensing access to the Service itself, sharing one workspace between unrelated organisations, or usage that puts disproportionate load on the Service is not fair use. If your use is far outside what is normal for your plan, we will contact you first and agree a fix (such as a more suitable plan) before limiting anything, except where section 12 allows immediate action.
12. Suspension
We may suspend all or part of the Service for your workspace (a sender, a campaign, API access or the whole workspace) if: (a) you breach section 5 or section 7; (b) your use creates a security risk or could harm the Service, other customers or third parties; (c) a payment remains unpaid after the grace period; or (d) the law or an authority requires it. Where reasonably possible we will tell you beforehand and give you a chance to fix the problem; we may act immediately if the harm is serious or ongoing. We will limit the suspension to what is necessary and lift it once the cause is resolved. Your data is kept during a suspension.
13. Availability, support and changes
- We work to keep the Service available, secure and accurate, but we provide it “as is” and “as available”, without a guaranteed uptime or service level. Maintenance, incidents, our providers (including Unipile and our hosting provider) and LinkedIn can interrupt it.
- Support is provided by email at {{CONTACT_EMAIL}} and through the in-app chat, on business days, in English.
- We may improve and change the Service. If a change materially reduces what your paid plan includes, we will tell you in advance. If you are on a subscription and the change harms you materially, you may cancel and get a pro-rata refund of fees prepaid for the remaining period.
14. Third-party services
The Service relies on third parties, including LinkedIn, Unipile, Stripe and AppSumo, and you may connect your own tools to it (Agents, webhook receivers, MCP clients). We are not responsible for third-party services we don't control, or for how they handle data you send them. Your use of LinkedIn, Stripe and AppSumo is also governed by their own terms.
15. Intellectual property and feedback
The Service, its software, documentation, design and brand belong to us or our licensors. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes while your plan or licence is active. You may not copy, modify, resell or create derivative works of the Service except as these Terms or the law allow. If you send us suggestions or feedback, we may use them without obligation to you.
16. Confidentiality
Each party will keep the other's non-public information confidential, use it only for this contract and protect it with reasonable care. This doesn't apply to information that is public through no fault of the receiving party, already known to it, independently developed, or that must be disclosed by law (with notice to the other party where allowed). Customer Data is also protected by the DPA.
17. Warranties and disclaimers
Each party confirms it has the right to enter into these Terms. You confirm that you have the rights and lawful basis needed for the Customer Data and for the outreach you run. To the extent the law allows, we give no other warranty, express or implied, including of merchantability, fitness for a particular purpose, results (such as acceptance or reply rates), or that the Service will be uninterrupted or error-free.
18. Limitation of liability
- Nothing in these Terms limits or excludes liability for fraud, wilful misconduct (dolo) or gross negligence, death or personal injury caused by negligence, or any other liability that can't be limited by law.
- Otherwise, neither party is liable for indirect or consequential loss, loss of profits, revenue, business, opportunities or goodwill, or for loss of data you could have exported. We are not liable for the consequences of LinkedIn's actions described in section 4.
- Otherwise, each party's total liability arising out of or in connection with these Terms in any 12-month period is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim, or, for a licence, the price you paid for it, or 100 US dollars if you paid nothing. This cap doesn't apply to your payment obligations or to your obligations under section 19.
19. Your indemnity
You will defend and indemnify us, our staff and providers against third-party claims, fines and reasonable costs arising from the Customer Data, the messages and actions you or your Agents run through the Service, or your breach of sections 4, 5 or 6, provided we tell you promptly about the claim, let you control its defence and cooperate reasonably.
20. Term and termination
- These Terms apply from the moment you accept them until your workspace is deleted.
- You can stop using the Service at any time and delete your workspace in Settings → Data. Deleting the workspace cancels any subscription at the end of its period, does not cancel an add-on retroactively, and does not entitle you to a refund except as section 9 says. A licence ends when its workspace is deleted.
- We may terminate these Terms by notice if you materially breach them and don't fix the breach within 15 days of our notice, immediately for a serious breach of section 5, or if the law requires it. We may also terminate a subscription with 30 days' notice for any reason, refunding fees prepaid for the period after termination (this doesn't apply to licences, which section 10 governs).
- After termination we delete Customer Data as the DPA describes: you can export it until the workspace is deleted, and we then delete it within 30 days, except what the law requires us to keep.
- Sections that by their nature should survive termination (including 6, 9, 15, 16, 18, 19, 22 and 23) survive.
21. Changes to these Terms
We may update these Terms. For material changes we will notify workspace owners by email or in the console at least 30 days before they take effect, unless a change is required sooner by law. If you don't agree, you can cancel or delete your workspace before the change applies; continuing to use the Service after that date means you accept it. The version and date at the top of this page show which version applies.
22. Governing law and courts
These Terms and any dispute arising from them are governed by Spanish law, excluding its conflict-of-laws rules and the UN Convention on the International Sale of Goods. The parties submit to the courts of the city of Madrid, Spain, expressly waiving any other jurisdiction. Nothing in this section deprives anyone of the protection of mandatory rules of the law of their country of residence that cannot be waived by contract, including, if the Service were ever used by a consumer despite section 3, the consumer's right to bring proceedings in the courts of their place of residence.
23. General
- Entire agreement. These Terms, the DPA and the documents they link to are the whole agreement between us about the Service and replace any earlier one. Order forms or purchase orders you send don't change them.
- Order of precedence. If documents conflict: the DPA prevails on personal data, then these Terms, then other policies.
- Assignment. You may not transfer these Terms without our consent. We may transfer them to an affiliate or to a successor in a merger, acquisition or sale of the Service, subject to section 10.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including actions of LinkedIn or of providers outside our control.
- Severability and waiver. If a clause is invalid, the rest stays in force. Not enforcing a right is not a waiver of it.
- Notices. We send notices to the email of your workspace's owners or show them in the console; you send them to {{CONTACT_EMAIL}}.
- Language. These Terms are written in English. If we provide a translation, the English version prevails, unless mandatory law says otherwise.
- Independent parties. Nothing in these Terms creates a partnership, agency or employment relationship.
24. Contact
Write to {{CONTACT_EMAIL}}, or to Optionality Partners, S.L., {{COMPANY_ADDRESS}}. The owner's full identification is in the legal notice.
